MICRONETICS SIGNS MERGER AGREEMENT WITH ENON
Hudson, NH -- (BUSINESS WIRE) -- February 15, 2002 --Micronetics Wireless, Inc. (NASDAQ/NOIZ) announced that it entered into a definitive merger agreement with Enon Microwave, Inc. The Merger is subject to certain closing conditions, including shareholder approval of Enon, and is expected to be completed before the end of Micronetics' fiscal year on March 31, 2002.

Enon had revenues of approximately $2.8 Million for 2001, with positive operating results. Enon's products are complimentary to those of Micronetics' RF/Microwave Components and Subassemblies Division.

In making this announcement, Richard Kalin, President of Micronetics, stated "As we previously announced, the proposed merger with Enon is in support of Micronetics' strategy to expand its RF/Microwave Components and Subassemblies Division. Enon's expertise in high power microwave control components and its customer base will better enable Micronetics to deliver more complete solutions to its customers and to partner with Enon's customers, by delivering a broader base of platform-based microwave integrated subassemblies. We are identifying synergies between Enon and Micronetics upon which we believe we can capitalize. As we stated previously, we are optimistic that the acquisition of Enon will be accretive from inception."
